1. Acceptance of these terms
These Terms of Use govern your access to and use of the website and platform operated under the name Argent Markets (“Argent”, “we”, “us”). By accessing the website or requesting access to the platform, you accept these terms. If you do not accept them, do not use the website or the platform. Clients admitted to the platform are additionally bound by their client agreements, which prevail over these terms to the extent of any inconsistency.
2. What Argent is — and is not
Argent is a technology platform. Argent does not provide investment, legal, accounting or tax advice; does not execute transactions; does not hold client funds or assets; and does not take part in negotiations. Transactions are agreed and settled directly between the parties, with independent licensed intermediaries where required. Nothing on the website or platform constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security in any jurisdiction.
3. Eligibility and access
Access to the platform is limited to eligible investors, subject to verification and jurisdictional restrictions. Every application is reviewed individually, and we may decline or revoke access at our discretion. You are responsible for ensuring that your use of the platform is lawful in every jurisdiction in which you operate, and for the accuracy of the information you provide to us.
4. Research and information
Research, commentary, valuations and other content made available by Argent are provided for information only. They are not advice, and they are not a substitute for your own judgment or independent professional advice. While sources are cited and content is reviewed before publication, all information is provided “as is” and without warranty of any kind, whether express or implied.
5. Risk
Investing in privately held assets is speculative and illiquid and involves the risk of loss. Argent conducts no due diligence on, and makes no representation regarding, any target company’s transfer restrictions, rights of first refusal, board consent or veto rights. Parties transact at their own risk and are advised to obtain independent legal advice.
6. Acceptable use
You must not misuse the website or platform: no scraping, crawling or automated extraction; no probing, testing or attempting to circumvent security, matching or access controls; no misrepresentation of identity, eligibility, funds or ownership; and no use of information obtained through the platform to approach, identify or disadvantage other participants outside the platform’s intended workflows. Credentials are personal and must be kept secure.
7. Confidentiality and data
Information on the platform is confidential and is made available solely for the purpose for which it was provided. Client documents are kept only as long as their purpose requires: proof-of-ownership and proof-of-funds documents are deleted once their review is complete, data-room documents are deleted after the room closes, and KYB documents are retained as compliance records for the required period. Our handling of personal data is described in our privacy notice. Argent never sells client data.
8. Intellectual property
The website, the platform, and all content, research, software, designs and marks on them are the property of Argent or its licensors. You are granted a limited, non-exclusive, non-transferable right to access and use them for their intended purpose. No other right is granted. You may not reproduce, redistribute or create derivative works without our prior written consent.
9. Third parties
The platform may involve or reference independent third parties, including licensed intermediaries, custodians and service providers. Argent is not responsible for the acts, omissions or services of any third party, and any engagement with a third party is between you and that third party.
10. Liability
To the maximum extent permitted by law, Argent excludes all liability for any indirect, incidental or consequential loss, and for any loss of profit, data or opportunity, arising from or in connection with the website or the platform. Nothing in these terms excludes liability that cannot be excluded by law.
11. Changes
We may update these terms from time to time. The version published on this page is the version in force, and continued use of the website or platform after an update constitutes acceptance of the revised terms.
12. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from or in connection with them.
